Fairwater combines the judgement of a senior financial adviser with the ownership and continuity of an internal corporate development team.

Luke Sullivan - Managing Director

More than 25 years across corporate advisory, corporate development, energy, infrastructure, resources and transport, spanning KPMG Deal Advisory and senior roles at Origin Energy, CIMIC Group and Asciano. Led or advised on more than A$30 billion of M&A, privatisations, project financings and capital raisings, including the $1.6bn Lattice Energy sale and the $15bn Queensland Government toll road, port and rail programme. Master of Applied Finance and a Chartered Accountant.

Jeff Frazer - Managing Director

More than 25 years leading M&A origination, valuation, structuring, due diligence and execution across energy, infrastructure and resources. A former Big Four corporate finance partner, he spent 19 years at KPMG, advising listed and private groups on buy-side and sell-side transactions, carve-outs and post-deal integration. Bachelor of Business (Accounting), Chartered Accountant, and a member of the Australian Institute of Company Directors.

Senior Adviser - Energy Markets & Offtake

More than 25 years across generation, energy contracting, renewables and storage, covering offtake and PPA structuring, merchant and contracted revenue strategy, route to market, and the commercial bankability of generation, storage and transmission assets. Supports market entry, portfolio strategy, counterparty selection and commercial negotiation for developers, investors and large energy users through development, financing and operation.

Senior Adviser - Project Finance & PPPs

A former chief executive of a Commonwealth infrastructure financier and energy sector chair, with deep experience in greenfield project finance, government and concessional capital, PPPs and availability based infrastructure. Advises on funding strategy, capital structure, risk allocation and bankability, and on the business cases, approvals and consortium arrangements that determine whether major projects reach financial close.

Director - Debt, Equity & Capital Markets

A former institutional investment banker with more than A$10 billion of renewable energy and infrastructure financing experience across senior debt, subordinated and structured capital, and equity. Leads debt raising and refinancing, lender and investor engagement, term sheet negotiation, credit approval and financial close, and advises on capital structure, gearing and the funding path for construction and operating assets.

Transaction Execution & Analytics

Transaction professionals drawn from Citi, J.P. Morgan, HRL Morrison & Co, TransGrid, EnergyCo, PwC, Grant Thornton, the National Reconstruction Fund and Baringa. They provide valuation, project and corporate financial modelling, scenario and market analysis, due diligence coordination, data room and process management, and the board, lender and investment committee material that carries a transaction through to completion.
